Terms of Service

These Terms of Service govern your use of Kawhe, including the Kawhe website, merchant dashboard, customer loyalty card experience, QR join flows, wallet pass features, and related services.

By accessing or using Kawhe, you agree to these Terms. If you do not agree, do not use the Services.

1. About Kawhe

Kawhe is a digital loyalty platform for cafés and other merchants. Kawhe helps merchants create and manage loyalty programs, customer join links, QR code flows, wallet-compatible loyalty cards, and reward tracking.

In these Terms, “Kawhe”, “we”, “us”, and “our” refer to wwwDream limited.

2. Who can use Kawhe

You may use Kawhe only if you can legally enter into a binding agreement.

If you create or use a Kawhe merchant account on behalf of a business, you confirm that you have authority to act for that business and bind it to these Terms.

3. Merchant accounts

Merchants are responsible for:

  • keeping account credentials secure;
  • ensuring staff access is properly controlled;
  • keeping account and business information accurate;
  • all activity carried out under their account.

You must notify us promptly if you believe your account has been used without permission.

4. Customer loyalty cards

Kawhe provides the software and infrastructure for digital loyalty cards, but each merchant is responsible for its own loyalty offer, reward rules, and redemption decisions.

If you are a customer joining a merchant loyalty program through Kawhe:

  • your loyalty card is issued on behalf of that merchant;
  • the merchant is responsible for the reward, promotion, discount, or offer;
  • Kawhe is not responsible for the merchant’s goods, services, or in-store experience.

5. Plans, usage limits, and store limits

Kawhe may offer free and paid plans.

Plan limits may include:

  • number of stores;
  • number of customer loyalty cards;
  • active card limits;
  • access to specific features.

Unless stated otherwise in your plan details:

  • the free plan is limited to one store;
  • the free plan may include a capped number of customer cards;
  • merchants must upgrade to a paid plan if they exceed plan limits.

We may pause new joins, restrict features, or require an upgrade if usage exceeds the plan allowance.

6. Fees and billing

Paid subscriptions are billed on a recurring basis unless cancelled.

By subscribing to a paid plan, you authorise Kawhe and its payment providers to charge the applicable subscription fees, taxes, and related charges.

Unless we clearly state otherwise:

  • fees are charged in advance;
  • subscriptions renew automatically;
  • fees are non-refundable except where required by law;
  • cancellations take effect at the end of the current billing period.

We use third-party payment processors, including Stripe, to handle billing and payment collection.

7. Merchant responsibilities

Merchants are responsible for:

  • configuring loyalty settings correctly;
  • honouring advertised rewards and offers;
  • ensuring customer-facing information is accurate;
  • complying with applicable laws relating to promotions, privacy, and customer communications.

Merchants must not use Kawhe to run unlawful, misleading, deceptive, or unfair promotions.

8. Acceptable use

You must not:

  • misuse the Services;
  • attempt to gain unauthorised access to data, systems, or accounts;
  • interfere with the security, stability, or performance of Kawhe;
  • upload malicious code;
  • use Kawhe in breach of any law or third-party rights;
  • reverse engineer, copy, resell, or exploit the platform except as permitted by law.

We may suspend or terminate access if we reasonably believe these Terms have been breached.

9. Third-party services

Kawhe may rely on third-party services, including:

  • Stripe for payments;
  • Apple Wallet and Google Wallet related services;
  • hosting, storage, and email providers.

We are not responsible for outages, changes, or failures caused by third-party services.

10. Availability and changes

We may update, improve, modify, suspend, or discontinue parts of Kawhe from time to time.

We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free availability.

11. Intellectual property

Kawhe and its licensors own all rights in the platform, software, branding, and related materials, except for content uploaded by merchants.

You retain ownership of your own business information, logos, and content, but you give us a limited licence to use that content as needed to provide the Services.

12. Privacy

Our handling of personal information is described in our Privacy Policy.

Merchants are responsible for ensuring they are authorised to collect and use customer information through Kawhe.

13. Suspension and termination

You may stop using Kawhe at any time.

We may suspend or terminate access if:

  • you breach these Terms;
  • payment is overdue;
  • your use creates legal, security, or operational risk;
  • we are required to do so by law.

14. Disclaimers

Kawhe is provided on an “as is” and “as available” basis to the maximum extent permitted by law.

We do not guarantee:

  • uninterrupted service;
  • error-free operation;
  • any specific commercial result;
  • any specific increase in customer retention or revenue.

Nothing in these Terms limits rights that cannot legally be excluded.

15. Limitation of liability

To the maximum extent permitted by law, Kawhe will not be liable for indirect, incidental, special, or consequential loss, including loss of profits, revenue, goodwill, data, or business opportunity.

To the maximum extent permitted by law, our total liability in connection with the Services is limited to the amount you paid to Kawhe in the 12 months before the claim arose, or NZD $100 if you paid nothing.

16. Governing law

These Terms are governed by the laws of New Zealand.

You and Kawhe submit to the non-exclusive jurisdiction of the courts of New Zealand.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version and update the date above.

Your continued use of Kawhe after changes take effect means you accept the updated Terms.
